1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your registration and participation as a vendor ("you", "Vendor") on the MomentsBride platform ("Platform", "we", "us"). By registering a vendor account, you confirm that you have read, understood, and agree to be bound by these Terms and our Vendor Privacy Policy. If you do not agree, do not register or use the Platform.

2. Eligibility & Registration

• You must be a legally established business or an individual legally entitled to provide wedding-related products or services in your jurisdiction.
• You must provide accurate, current, and complete information during registration, including business name, category, contact details, and location.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• MomentsBride reserves the right to verify your business information and to approve, suspend, or reject registrations at its sole discretion.

3. Vendor Obligations

• Keep your business profile, product listings, pricing, and availability accurate and up to date.
• Fulfill every confirmed booking professionally and in accordance with the description, price, and schedule agreed with the customer.
• Respond to customer inquiries and order notifications in a timely manner.
• Comply with all applicable laws and regulations, including consumer protection, taxation, and data protection laws.
• Use customer data shared with you solely to fulfill orders, and never for unsolicited marketing.

4. Product Listings & Content

You retain ownership of the photos, descriptions, and other content you upload, and you grant MomentsBride a non-exclusive, royalty-free license to display, reproduce, and promote that content on the Platform and in marketing materials. You warrant that your content does not infringe any third-party rights, is not misleading, and accurately represents the products and services offered.

5. Fees, Commission & Payment

• MomentsBride charges a platform commission on each completed transaction. The applicable rate is disclosed in your vendor agreement and dashboard.
• Customer payments are collected through the Platform and settled to your registered bank account on a regular settlement cycle, after deduction of applicable fees.
• You are responsible for any taxes arising from your sales, including income tax and VAT where applicable.
• MomentsBride may withhold or offset settlements in cases of suspected fraud, chargebacks, refunds, or unresolved disputes.

6. Cancellations, Refunds & Disputes

Cancellation and refund handling must follow the policies published on the Platform and any terms agreed with the customer at the time of booking. In the event of a dispute between you and a customer, MomentsBride may mediate and make a final determination on refunds based on the evidence provided by both parties. You agree to cooperate in good faith with any dispute-resolution process.

7. Prohibited Conduct

You must not:

• Divert customers off-platform to avoid fees on bookings initiated through MomentsBride.
• Post false, misleading, or plagiarized listings, or manipulate reviews and ratings.
• Offer products or services that are illegal or violate third-party rights.
• Interfere with the operation or security of the Platform.

8. Suspension & Termination

MomentsBride may suspend or terminate your vendor account at any time for breach of these Terms, fraudulent activity, repeated customer complaints, or extended inactivity. You may close your account at any time, provided all outstanding bookings are fulfilled or properly cancelled and all outstanding obligations are settled. Sections concerning fees, liability, and data retention survive termination.

9. Limitation of Liability

MomentsBride acts as an intermediary platform connecting vendors and customers. We are not a party to the contract between you and the customer and, to the maximum extent permitted by law, are not liable for indirect, incidental, or consequential damages arising from your use of the Platform, including loss of profits or business opportunities.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced through the Platform or by email at least 14 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes that cannot be resolved amicably will be submitted to the competent courts of Indonesia.
