These Vendor Terms and Conditions ("Terms") govern the registration, use of the Platform, provision of products and/or services, receipt of payments, and withdrawal of funds by vendors ("you" or "Vendor") through MomentsBride ("Platform", "MomentsBride", or "we").

By registering a Vendor account, using Vendor features, accepting orders, or using payment and fund withdrawal services on the Platform, you confirm that you have read, understood, and agreed to these Terms and our Vendor Privacy Policy.

If you do not agree to these Terms, you are not permitted to register or use a Vendor account on the Platform.

By registering as a Vendor on MomentsBride, you agree that:

• You have read and understood these Terms.
• You agree to all applicable terms governing your use of the Platform.
• You are responsible for all activities carried out through your Vendor account.
• You are willing to comply with policies, guidelines, and additional terms imposed by MomentsBride from time to time.

These Terms apply from the moment you create a Vendor account and remain in effect for as long as you use the Platform.

Additional terms applicable to specific features, including payment, fund withdrawal, promotions, or other services, may apply as part of these Terms.

To become a Vendor on MomentsBride:

• You must be an individual or legal entity duly authorized to provide wedding-related products and/or services.
• You must provide accurate, truthful, complete, and up-to-date information at the time of registration.
• Information may include business name, owner or representative name, service category, address or service area, contact number, email, bank account, and any other required information.
• You must update your information whenever changes occur.
• You are responsible for maintaining the confidentiality of your email, password, OTP, and other account credentials.
• You are responsible for all activities carried out through your Vendor account.
• MomentsBride reserves the right to verify your identity, business information, payment account, and any other information required before or while you use certain features.
• MomentsBride may request additional documents or information for verification, security, fraud prevention, payment, or legal compliance purposes.
• MomentsBride reserves the right to approve, reject, suspend, restrict, or terminate a registration or Vendor account based on Platform policies and applicable law.

You are not permitted to create an account using the identity or information of another party without lawful authority.

Vendors are responsible for all products and/or services offered through the Platform.

Vendors must:

• Provide accurate, clear, and non-misleading information about their products and services.
• Display pricing, service descriptions, portfolio, location or service area, availability, and other information accurately.
• Update information whenever changes occur.
• Provide products and/or services in accordance with the description, price, and terms agreed with the customer.
• Respond to inquiries, requests, and communications from prospective customers professionally and in a timely manner.
• Fulfill confirmed orders or services in accordance with the agreement made with the customer.
• Provide necessary information in the event of changes, delays, cancellations, or issues in service fulfillment.
• Comply with all applicable laws and regulations, including consumer protection, taxation, business, and personal data protection requirements.
• Refrain from any action that may harm customers, other Vendors, or MomentsBride.

Vendors are responsible for ensuring that the products and services offered can be provided lawfully and in accordance with applicable requirements.

Vendors may create a business profile and display information about the products and/or services they offer through the Platform.

Vendors retain ownership of photos, videos, logos, descriptions, portfolios, and other content uploaded to the Platform ("Vendor Content").

By uploading Vendor Content, you grant MomentsBride a non-exclusive, royalty-free license, valid for as long as the content is available on the Platform, to:

• Display Vendor Content on the Platform.
• Adapt the size, format, or appearance of content to meet the Platform's technical requirements.
• Display Vendor Content on search pages, Vendor profiles, or other MomentsBride features.
• Promote Vendors, products, and/or services through MomentsBride's marketing channels.
• Use Vendor Content for MomentsBride's promotional and marketing activities.

You represent and warrant that:

• You have the rights or permissions necessary to use Vendor Content.
• The content does not infringe any copyright, trademark, privacy, or other third-party rights.
• The content does not contain false, misleading, illegal, or harmful information.
• You are responsible for any third-party claims related to Vendor Content.

MomentsBride reserves the right to reject, remove, restrict, or request changes to content deemed to violate these Terms, applicable law, or Platform standards.

MomentsBride may charge service fees or commissions on transactions conducted through the Platform.

The applicable commission rate, service fees, or other charges will be communicated to Vendors through the Platform, Vendor dashboard, commercial agreements, or other communication methods before taking effect.

Customer Payments

For transactions using MomentsBride's payment system:

• Customers make payment through payment methods provided by MomentsBride or its payment partners.
• Payment funds are received and processed through the payment system designated by MomentsBride.
• Once payment is successfully confirmed, the transaction and the value of funds due to the Vendor may be reflected in the Vendor dashboard in accordance with the transaction status.
• Such funds may be reduced by commissions, service fees, refunds, chargebacks, adjustments, or other applicable obligations before the Vendor can withdraw them.

A balance shown on the Vendor dashboard does not necessarily mean that such funds are immediately available for withdrawal. The availability of funds for withdrawal may depend on transaction status, settlement periods, verification, refunds, chargebacks, or security checks.

MomentsBride may hold, delay, restrict, or make adjustments to funds where there is reasonable cause to suspect:

• Fraud or suspicious activity.
• Chargeback or potential chargeback.
• Refund or cancellation request.
• Transaction dispute.
• Violation of these Terms.
• Other payment obligations or adjustments.

Vendors are responsible for tax obligations arising from their income or transactions in accordance with applicable law.

6.1 Withdrawal

Vendors may withdraw funds from their available balance in accordance with the applicable withdrawal terms at MomentsBride. Payments successfully made by prospective couples, including down payments (DP) in accordance with the Vendor's terms, may be recorded as Vendor balance on the platform.

MomentsBride may apply settlement periods, minimum withdrawal limits, administrative fees, withdrawal limits, verification processes, or other requirements necessary for transaction security and platform operations.

The Vendor's balance may be adjusted or reduced in the event of transaction cancellations, refunds, chargebacks, payment corrections, fees, or other obligations related to such transactions.

A Vendor's withdrawal does not extinguish the Vendor's obligations with respect to completed transactions, including refund obligations where such refunds are required under the terms of the transaction, MomentsBride's policies, or applicable law.

6.2 Cancellations & Refunds

The terms regarding down payments (DP), full payments, cancellations, and refunds must be determined by the Vendor and communicated to prospective couples before payment is made. Such terms must be clear, non-misleading, and in compliance with applicable law.

In the event of a cancellation or other condition resulting in a refund, MomentsBride may process the refund through available payment systems and make adjustments to the Vendor's balance in accordance with the amount to be refunded.

If the Vendor's balance is insufficient because funds have been previously withdrawn, the Vendor remains responsible for the refund obligations arising from such transactions.

6.3 Disputes

In the event of a dispute between the Vendor and a prospective couple, including but not limited to disputes regarding DP payments, cancellations, services, delays, or refunds, MomentsBride may request relevant information and evidence from the parties involved to assist in the transaction review process.

During the review or dispute resolution process, MomentsBride may delay related fund withdrawals, make adjustments or temporarily hold available balances, or process refunds in accordance with the transaction terms, Platform policies, and applicable law.

Vendors must provide the required information and evidence and cooperate in the dispute review process.

MomentsBride's actions in assisting with the review or resolution of a dispute do not eliminate the rights and obligations of the Vendor or the prospective couple under the agreement between the parties and applicable law.

Vendors must not:

• Provide false or misleading business information, product details, pricing, or services.
• Upload photos, videos, logos, portfolios, or content that infringes third-party rights.
• Sell or offer products and/or services that violate the law.
• Manipulate ratings, reviews, transaction counts, or other information on the Platform.
• Engage in fraud, phishing, spam, or other illegal activities.
• Use payment methods or transactions to avoid MomentsBride's fees or commissions.
• Use the Platform for money laundering, concealing the source of funds, or engaging in financial activities that violate the law.
• Create fictitious transactions to inflate balances, ratings, or account performance.
• Use another Vendor's account or grant account access to unauthorized parties.
• Use customers' personal data for unauthorized purposes.
• Divert transactions initiated or processed through MomentsBride outside the Platform to avoid fees, commissions, or Platform policies.
• Interfere with, damage, exploit, or attempt to gain unauthorized access to MomentsBride's systems, security, or infrastructure.

MomentsBride reserves the right to investigate suspicious activities and take necessary action to protect the Platform, Vendors, and customers.

MomentsBride may suspend, restrict, freeze, or terminate a Vendor account if:

• The Vendor violates these Terms.
• The Vendor provides false or misleading information.
• There are indications of fraud or suspicious activity.
• The Vendor receives repeated customer complaints or commits serious violations of service standards.
• The Vendor uses the Platform for illegal activities.
• The Vendor commits violations related to payment or Withdrawal.
• Required to maintain the security of the Platform or its users.
• Required by law or at the request of competent authorities.

In certain circumstances, MomentsBride may temporarily hold balances or Withdrawals associated with transactions under review.

Vendors may request account closure at any time. However, account closure does not automatically extinguish the Vendor's obligations relating to transactions, refunds, chargebacks, fees, or other ongoing obligations.

Provisions that by their nature survive termination of an account will continue to apply.

MomentsBride provides the Platform as a means to help prospective couples find Vendors, communicate with Vendors, conduct transactions, and facilitate payment processes in accordance with available features.

Vendors remain responsible for the products and/or services they provide to customers.

MomentsBride does not warrant:

• That Vendors will receive a specific number of customers or transactions.
• That all information provided by Vendors or customers is always accurate.
• That Vendors will always be featured or ranked in a particular position in search results.
• That the Platform will always be available without interruption.
• That all transactions will succeed where there are issues with payment providers, banks, networks, or third-party systems.
• That Vendors will always be able to process a Withdrawal at a given time where there are reviews, refunds, chargebacks, or other conditions permitted under these Terms.

To the extent permitted by applicable law, MomentsBride is not liable for indirect damages, loss of profits, loss of business opportunities, or consequential damages arising from the use of the Platform.

Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable law.

MomentsBride may develop, modify, add to, restrict, or discontinue certain features on the Platform from time to time.

Such changes may include features relating to:

• Vendor profile.
• Product and service listings.
• Communication.
• Booking or order.
• Payment.
• Vendor balance.
• Withdrawal.
• Promotions.
• Ratings and reviews.
• Other features.

MomentsBride may also update these Terms to reflect changes to its services, operations, security, or applicable legal requirements.

For material changes, MomentsBride will provide notice through the Platform, by email, or through other communication methods deemed reasonable.

By continuing to use the Platform after a change takes effect, Vendors are deemed to have accepted the updated Terms.

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia.

Any disputes arising in connection with the use of the Platform or these Terms will first be sought to be resolved through good-faith deliberation.

If resolution through deliberation is not achieved, the dispute will be resolved through the court having jurisdiction under the applicable laws of the Republic of Indonesia.

MomentsBride may collect, use, store, and process Vendor personal data and other information required to provide Platform services, including for registration, verification, security, payment, Withdrawal, customer support, fraud prevention, and legal compliance purposes.

Vendors must use customer personal data obtained through MomentsBride only for purposes related to legitimate transactions or services and in accordance with applicable requirements.

Vendors are prohibited from selling, disclosing, misusing, or using customer data for unauthorized purposes.

The processing of personal data by MomentsBride is further governed by the Vendor Privacy Policy and other privacy policies applicable to the Platform.
